1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Logyfy website at logyfy.in and the vehicle verification platform at scan.logyfy.in (collectively, the "Services"), operated by Logyfy ("we", "our", or "us").

By registering for an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms on behalf of yourself and the organisation you represent. If you do not agree, you must not use the Services.

Our Services are intended for businesses only (B2B). You must be at least 18 years of age and have the authority to bind your organisation to these Terms.

2. Account Registration

2.1 Account Creation

To use the platform, your organisation must register for an account. You agree to provide accurate, current, and complete information during registration and to keep it updated. Account access is granted at our sole discretion.

2.2 Account Security

We use OTP-based authentication — no passwords are created or stored. You are responsible for maintaining the security of your email account used for login. You are responsible for all activity that occurs under your account. Notify us immediately at hello@logyfy.in if you suspect unauthorised access.

2.3 API Keys

API keys issued to your account grant programmatic access to the Services. You must keep API keys confidential and not share them with unauthorised parties. You are responsible for all API calls made using your keys. If a key is compromised, revoke it immediately from your account dashboard.

2.4 Account Suspension

We reserve the right to suspend or terminate your account at any time if we determine, at our sole discretion, that you have violated these Terms, misused the Services, or if required by law.

3. Credits and Payments

3.1 Credit-Based Model

Access to verification Services is provided on a credit-based basis. Credits must be purchased in advance and are deducted from your account balance each time a verification request is successfully processed. The credit cost per request is specified in your account's product pricing, which is set by us and may vary by product.

3.2 Credit Top-Ups

Credits are added to your account by Logyfy administrators following receipt of payment. Payment terms, amounts, and modes are agreed upon separately between you and Logyfy. All credit purchases are final — unused credits are non-refundable unless otherwise agreed in writing.

3.3 Credit Deduction and Holds

• For single-request API calls, credits are deducted at the time of the request. If the upstream provider returns an error, credits are automatically refunded to your balance.
• For batch jobs, credits are held at the time of job submission and charged upon successful individual record processing. Credits held for failed records are released back to your balance.

3.4 Invoices

Monthly invoices summarising credit usage may be generated and sent to your registered email address. Invoices are for record-keeping purposes. If you dispute an invoice, notify us within 30 days of receipt.

3.5 Taxes

All amounts are exclusive of taxes. You are responsible for any applicable taxes (including GST) on your purchases, unless we are legally required to collect and remit them on your behalf.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services for any purpose that violates any applicable Indian law or regulation, including the Information Technology Act, 2000 and the Motor Vehicles Act, 1988
• Submit fraudulent, false, or fabricated verification queries
• Attempt to probe, scan, or test the vulnerability of the platform or breach any security or authentication measures
• Resell, sublicense, or provide third-party access to the Services or any data obtained through the Services without our prior written consent
• Use the Services to build a competing product or service
• Reverse-engineer, decompile, or disassemble any part of the Services
• Use automated scripts to submit requests at a rate that causes unreasonable load on the platform beyond your agreed usage patterns
• Use the verification data for any purpose beyond the legitimate internal business purposes for which the data was requested
• Store, distribute, or publish personally identifiable information obtained through verification results beyond what is required for your stated business purpose

We reserve the right to monitor usage for compliance with these Terms and to suspend access immediately if we detect violations.

5. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

You acknowledge that:

• Verification queries are transmitted to our upstream data providers to fulfil your requests. By submitting data, you confirm that you have the legal authority and appropriate consent (where required) to query that data.
• You are responsible for ensuring your use of vehicle verification data complies with all applicable data protection and privacy laws, including the DPDP Act, 2023.
• You must not use the Services to obtain data for purposes unrelated to your stated business function or in a manner that infringes on any individual's privacy rights.

6. Data Accuracy Disclaimer

Vehicle verification data returned through our Services is sourced from third-party government data providers and is provided on an "as-is" basis. While we strive to provide accurate and up-to-date information, we:

• Do not warrant the accuracy, completeness, timeliness, or fitness for any particular purpose of the data
• Are not responsible for errors, omissions, or discrepancies in data returned by upstream providers
• Are not liable for any decisions you make based on data obtained through the Services

You are solely responsible for verifying the suitability and accuracy of any data before relying on it for business, legal, or other decisions.

7. Intellectual Property

All software, technology, trademarks, logos, and content forming the Services are the exclusive property of Logyfy or its licensors. These Terms do not grant you any ownership interest in the Services or any intellectual property rights therein.

You retain ownership of any data you submit to the platform. By submitting data, you grant us a limited, non-exclusive licence to process that data solely to provide the Services to you.

8. Service Availability and Maintenance

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. We may temporarily suspend the Services for scheduled maintenance, upgrades, or emergency fixes. Where possible, we will provide advance notice of planned downtime.

We are not liable for any losses arising from downtime, service interruptions, or delays caused by factors outside our reasonable control (including upstream provider outages, network failures, or force majeure events).

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• Our total liability to you for any claim arising out of or in connection with these Terms or your use of the Services shall not exceed the total amount of credits purchased by you in the 3 months preceding the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, even if we have been advised of the possibility of such damages.
• We are not liable for any losses arising from your reliance on inaccurate or incomplete data returned by upstream providers.

10. Indemnification

You agree to indemnify, defend, and hold harmless Logyfy and its officers, employees, and agents from and against any claims, damages, losses, costs, and expenses (including legal fees) arising out of or relating to:

• Your use of the Services in violation of these Terms
• Your violation of any applicable law or regulation
• Any claim that data you submitted to the Services was used without appropriate authorisation

11. Modifications to the Services and Terms

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice. We may update these Terms from time to time. We will notify registered users of material changes via email at least 14 days before the changes take effect. Continued use of the Services after the effective date constitutes your acceptance of the revised Terms.

12. Termination

Either party may terminate this agreement at any time. Upon termination:

• Your access to the Services will be revoked
• Unused credits are non-refundable unless otherwise agreed in writing
• Sections that by their nature should survive termination (including limitations of liability, indemnification, and governing law) shall remain in effect

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the competent courts in India.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Logyfy with respect to the Services and supersede all prior or contemporaneous understandings, whether written or oral, relating to the subject matter herein.
